These Terms & Conditions (the “Terms”) govern your access to and use of the HypeCryptoNow website and your participation in any affiliate or referral program offered through HypeCryptoNow, including the NexFlow Affiliate Program. Please read them carefully.

1. Acceptance of Terms

By accessing or using the HypeCryptoNow website, registering as an affiliate, or otherwise participating in any program we offer, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the site or participate in any program. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

2. About HypeCryptoNow

HypeCryptoNow (“HypeCryptoNow”, “we”, “us”, or “our”) operates an affiliate program hub that curates and markets vetted affiliate and referral programs, including the NexFlow Affiliate Program. NexFlow is an independent third party that provides AI automation and workflow services; HypeCryptoNow facilitates referrals to NexFlow and administers the associated affiliate program.

3. Site Usage

You agree to use the site only for lawful purposes and in accordance with these Terms. You must not:

use the site in any way that breaches any applicable local, national, or international law or regulation;
attempt to gain unauthorised access to the site, the server on which it is stored, or any connected server, computer, or database;
introduce viruses, trojans, worms, or other material that is malicious or technologically harmful;
scrape, harvest, or otherwise collect data from the site except as expressly permitted; or
reproduce, duplicate, copy, or resell any part of the site in breach of these Terms.

We provide the site on an “as is” and “as available” basis and may modify, suspend, or discontinue it (in whole or in part) at any time without notice.

4. Affiliate Program Participation

Participation in any program is subject to approval and may be granted or refused at our sole discretion. To participate you must:

be at least 18 years old and able to form a legally binding contract;
provide accurate, current, and complete information when registering, and keep it up to date;
be solely responsible for the security of your account and referral code/link; and
comply with these Terms and any program-specific terms at all times.

Joining is free. We do not charge affiliates a fee to participate. You are an independent contractor and nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and HypeCryptoNow or NexFlow. You have no authority to make any representation, warranty, or commitment on behalf of HypeCryptoNow or NexFlow.

5. Affiliate Responsibilities & Conduct

You are solely responsible for how you promote any program and for all of your own marketing activities, content, and conduct. As a condition of participation, you agree that you will:

Comply with all applicable laws and regulations governing marketing and electronic communications, including (without limitation) the U.S. CAN-SPAM Act, the EU General Data Protection Regulation (GDPR), Canada’s Anti-Spam Legislation (CASL), the U.S. FTC endorsement and advertising guidelines, and any equivalent laws in your jurisdiction and that of your audience;
Disclose your affiliate relationship clearly and conspicuously wherever required by law (for example, marking promotional content as an advertisement or affiliate referral);
Not send spam or unsolicited bulk communications. All email outreach must use only lawfully obtained contact data, identify you as the sender, and include a functioning opt-out;
Not engage in deceptive, false, misleading, or fraudulent promotion, including fake reviews, false scarcity or earnings claims, impersonation, or any misrepresentation of HypeCryptoNow, NexFlow, or their products, pricing, or services;
Not bid on, purchase, or use HypeCryptoNow’s or NexFlow’s brand names, trademarks, or confusingly similar terms as keywords in paid search, display, or other paid advertising (including misspellings and “brand+keyword” combinations), and not use such terms in your domain names, display URLs, or ad copy in a way likely to mislead;
Not generate referrals through fraud, including self-referrals, cookie stuffing, forced clicks, automated traffic, incentivised or fake sign-ups, or any artificial manipulation of tracking;
not promote in connection with illegal, adult, hateful, violent, defamatory, or otherwise objectionable content; and
not use the HypeCryptoNow or NexFlow name, logos, or content except as expressly permitted in writing.

Any breach of this section may result in immediate termination, forfeiture of unpaid commissions, and liability for any resulting losses. You alone bear responsibility and any legal consequences arising from your marketing methods and conduct.

6. No Guarantee of Earnings

Participation does not guarantee any earnings, referrals, or results. Any figures, ranges, or examples (including the “$20–$350 per referral” range) describe the commission structure and potential per-referral payout amounts only; they are not a promise, projection, or guarantee of income. Your actual earnings, if any, depend entirely on referrals you generate, whether those referrals become paying customers, and the amount they spend. Many participants earn little or nothing.

7. Attribution & Cookie Tracking Disclaimer

Referrals are attributed using your unique referral link and/or code, supported by cookies and similar technologies. Attribution is not guaranteed and may fail or be incomplete for reasons outside our control, including (without limitation) a customer clearing or blocking cookies, using a different device or browser, ad/tracking blockers, privacy settings, multiple referral touchpoints, last-click or other attribution rules, or technical errors. We determine attribution in good faith, and our records and tracking data are final and determinative for all questions of attribution and eligibility. We are not liable for any commission lost due to tracking limitations or a customer’s failure to use your link or code.

8. NexFlow Affiliate Program — Specific Terms

The following terms apply specifically to the NexFlow Affiliate Program, in addition to all of the general Terms above. Where there is a conflict for the NexFlow program, this section controls.

Commission rate: $50 for every $350 the referred customer spends with NexFlow.
Minimum payout: $20 per referral.
Maximum payout: $350 per referral.
Spend-dependent: Commission is dependent upon the referred customer’s actual spend with NexFlow. No spend, no commission.
Payable after payment: Commission becomes payable only after the referred customer has actually paid NexFlow (cleared funds), and after any applicable refund, chargeback, or cancellation period has passed.
No self-referrals: You may not refer yourself, your own business, or accounts you control, and you may not arrange referrals on your own behalf.
Attribution: Eligibility requires a valid referral via your unique referral link/code, tracked and confirmed by our records.
Payout method & timeline: The payout method, currency, schedule, and timing are determined at HypeCryptoNow’s discretion and communicated to eligible affiliates.
Program changes: NexFlow Affiliate Program terms, rates, and eligibility may change with notice; changes apply to referrals occurring after the effective date of the change.

Worked example: if a referred customer spends $700 with NexFlow, the commission is $100 ($50 × 2). The minimum payable per referral is $20 and the maximum is capped at $350 per referral, regardless of how much the customer spends beyond that cap.

9. Commission & Payment (General)

Commissions are calculated from our records of qualifying, confirmed customer spend. Commissions that are reversed, refunded, charged back, fraudulent, or otherwise found ineligible will be deducted or clawed back. We may set a minimum balance, payout cadence, verification requirements (including tax or identity information), and accepted payout methods. You are solely responsible for any taxes payable on commissions you receive. Commissions on referrals that breach these Terms are forfeited.

10. Account Termination

We may suspend or terminate your participation, your account, and/or your referral code or link at any time, with or without cause and with or without notice, including for any actual or suspected breach of these Terms or any fraudulent, abusive, or unlawful activity. You may withdraw from any program at any time by contacting us. On termination, your right to promote and to earn further commissions ends; commissions for qualifying spend confirmed before termination may be paid at our discretion, except where termination is for breach or fraud, in which case unpaid commissions may be forfeited.

11. Limitation of Liability

Your participation and your marketing activities are undertaken at your own risk and on your own responsibility. To the maximum extent permitted by law:

the site, the programs, and all related materials are provided “as is” and “as available”, without warranties of any kind, whether express or implied;
HypeCryptoNow, its owners, officers, employees, and partners (including NexFlow) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or relating to your participation, your marketing conduct, the site, or these Terms;
HypeCryptoNow is not responsible or liable for your acts or omissions, your marketing methods, your content, your communications, or any claim, fine, penalty, or third-party demand arising from them — responsibility for your conduct rests with you, the affiliate, and not with HypeCryptoNow;
HypeCryptoNow is not responsible for the products, services, pricing, availability, conduct, or performance of NexFlow or any other third party; and
to the extent any liability cannot be excluded, our total aggregate liability to you arising out of or relating to these Terms or your participation will not exceed the total commissions actually paid to you by HypeCryptoNow in the three (3) months immediately preceding the event giving rise to the claim, or USD $100, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

12. Indemnification

You agree to defend, indemnify, and hold harmless HypeCryptoNow and its owners, officers, employees, agents, and partners (including NexFlow) from and against any and all claims, demands, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your participation in any program; (b) your marketing activities, content, or communications; (c) your breach of these Terms or of any applicable law (including anti-spam, advertising, data-protection, or consumer-protection laws); or (d) your violation of the rights of any third party.

13. Intellectual Property

All content, trademarks, logos, and materials on the site are owned by HypeCryptoNow or its licensors (including NexFlow) and are protected by law. We may make certain approved marketing materials available to affiliates; any such licence is limited, non-exclusive, non-transferable, and revocable, and may be used only to promote the relevant program in accordance with these Terms. All goodwill from your use of our and NexFlow’s marks inures to the respective owner.

14. Changes to These Terms

We may update or modify these Terms at any time. When we do, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Changes are effective when posted. Your continued use of the site or continued participation in any program after changes are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

15. Governing Law

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of the State of Colorado, USA, without regard to its conflict-of-laws principles. You and HypeCryptoNow submit to the exclusive jurisdiction of the state and federal courts located in Colorado, USA, for the resolution of any dispute not otherwise resolved under the section below.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and HypeCryptoNow regarding your use of the site and participation in our programs.
